Terms of Service

These Terms of Service ("Terms") are a contract between you and Feld & Co LLC, a Texas limited liability company ("Feld & Co," "we," "us," "our"), covering your use of Meridino (meridino.com), a job-discovery and resume-preparation service. By creating an account, signing in, or otherwise using Meridino, you agree to these Terms and acknowledge our Privacy Policy and Data-Usage Policy, which are incorporated by reference.

If you do not agree, do not use Meridino.

1. What Meridino is

Meridino helps you find job postings that fit your background and prepare a resume that reads well to an applicant tracking system ("ATS") for a specific posting. The service includes:

  • A shared pool of job postings. We collect postings from the public, first-party career-board endpoints operated by employers' own ATS providers, and we periodically re-check whether a posting is still live.
  • Search and matching. A deterministic, rules-based screen that compares your stated target roles and profile against that pool.
  • An ATS coverage check. A score and gap analysis for your resume against one specific posting.
  • Resume structuring and rewriting. Tools that organize your own submitted history into a resume tailored to a specific posting, subject to the anti-fabrication constraint in Section 5.
  • An application tracker. A private record you keep of your own progress (saved, applied, interviewing, offer, accepted, rejected, withdrawn).

Meridino never applies to a job on your behalf. We prepare and organize; you review, decide, and submit. We do not post, message, or act publicly in your name.

Meridino is candidate-facing only. We do not sell, license, or expose your profile, scores, or resume to employers, recruiters, or background-screening companies, and we do not provide reports about you to anyone making a decision about you. Meridino is not a consumer reporting agency and does not provide consumer reports within the meaning of the Fair Credit Reporting Act.

2. No guarantee of employment, interviews, or hiring outcomes

This is the most important thing in these Terms, so it is stated plainly and without qualification.

  • Meridino does not guarantee that you will be hired, receive an interview, receive a callback, receive an offer, or be advanced at any stage of any employer's hiring process.
  • Meridino does not guarantee that any employer will see, open, read, parse, score, or respond to any resume or application you prepare with the service.
  • ATS coverage scores, fit scores, match tiers, and gap analyses are our own estimates produced by our own rules. They are not an employer's score, are not produced by any employer's actual ATS, and do not predict, promise, or correlate to any hiring result.
  • Our resume tools change how your existing experience is organized and phrased. They cannot change what your experience is, and no resume tool can substitute for the qualifications an employer requires.
  • Nothing on our website, in our marketing, in the product, or in any communication from us is a promise, warranty, or guarantee of an employment outcome, and no such promise may be inferred from a score, a recommendation, a ranking, or a fit label.
  • Meridino is not an employment agency, a staffing agency, a recruiter, a career counselor, or a provider of legal, immigration, tax, or financial advice, and no employment relationship or agency relationship is created between you and us.

Your job search is yours. We give you tools and information; the outcome depends on you, on employers, and on circumstances none of us control.

3. Eligibility

  • You must be at least 18 years old and able to form a binding contract to use Meridino. Meridino is not directed to, and may not be used by, anyone under 18.
  • You must not be barred from using the service under the laws of the United States or your jurisdiction.
  • You may hold one account. Accounts are personal to you and may not be shared, sold, or transferred.

4. Accounts and sign-in

  • Sign-in is single sign-on (SSO) only, through a third-party identity provider (currently Google). We do not create, request, receive, store, process, or reset passwords for Meridino. There is no password reset flow because there is no Meridino password.
  • We receive from the identity provider the account identifiers it releases to us (your name, email address, and account identifier). Your relationship with that provider is governed by that provider's own terms and privacy policy.
  • You are responsible for maintaining control of the identity-provider account you sign in with, and for all activity under your Meridino account.
  • We may add other SSO or OIDC providers over time. The sign-in method may change; the rule that we never hold your password does not.
  • Notify us promptly at admin@meridino.com if you believe your account has been accessed without your authorization.

5. Your content, your ownership, and the anti-fabrication rule

  • You own your content. You retain all rights in the work history, achievements, skills, education, certifications, contact details, target preferences, uploaded documents, tracker notes, and anything else you submit (together, "Your Content"). We claim no ownership in it.
  • The license you give us is only what is needed to run the service for you. You grant Feld & Co a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, parse, transmit to the sub-processors listed in our Privacy Policy, analyze, and display Your Content solely to operate and provide Meridino to you: extracting text from a document you upload, structuring it into your profile, matching you against the postings pool, running the ATS coverage check, generating a resume tailored to a posting you select, rendering a document for you to download, and maintaining your tracker.
  • We do not use Your Content for anything else. Not advertising. Not sale. Not disclosure to employers. Not training our own models. See the Data-Usage Policy for the complete list of what we never do.
  • The license ends when the content does. It terminates when you delete the content or when we complete deletion of your account, subject only to the limited retention described in the Privacy Policy.
  • The anti-fabrication rule. Our resume tools may reorder, reword, and re-present your own submitted history and may surface a keyword the posting calls for that your history supports. They are constrained by a deterministic gate that rejects any output containing a claim, metric, credential, employer, title, or entity that does not trace back to what you submitted. If the gate rejects a rewrite, the service keeps your original wording. This is enforced in code, not merely as a policy.
  • You are responsible for the truth of what you submit and what you send. You represent that Your Content is your own and accurate to the best of your knowledge. You must review any generated resume before you send it to an employer. We are not responsible for a misstatement that originates in what you told us.

6. Acceptable use

You agree not to:

  • submit content that is false, unlawful, defamatory, or that infringes anyone's rights, and not to submit another person's resume or personal information as your own;
  • scrape, crawl, bulk-export, enumerate, mirror, resell, or otherwise systematically extract the job postings pool, search results, match results, or any other part of the service, by any means, including automated tools, headless browsers, or the reuse of API responses;
  • circumvent or attempt to circumvent rate limits, result caps, paywalls, entitlement checks, account isolation, or any other technical restriction;
  • create multiple accounts, use false identities, or use automated means to obtain free allowances, trials, credits, or promotional pricing more than once;
  • probe, scan, or test the vulnerability of the service, or access data that is not yours;
  • reverse-engineer, decompile, or attempt to derive the source code, scoring rules, dictionaries, or matching logic of the service, except to the extent that restriction is unenforceable by law;
  • use the service to build or train a competing product, dataset, or model;
  • misrepresent the service, including by presenting a Meridino score to an employer or a third party as an employer's or an ATS vendor's own assessment; or
  • use the service in violation of any applicable law, including employment, export, and data protection law.

We may investigate suspected violations and may suspend or terminate access under Section 15.

7. Purchases, billing, and payment

  • Payment processor. All purchases are billed through Stripe, Inc. You enter your card details on Stripe's hosted checkout page. We never see, receive, or store your card number, CVC, or full payment credentials. We store only a Stripe customer identifier and your purchase and credit state. Your payment is also subject to Stripe's own terms.
  • Prices and inclusions are the ones displayed at checkout at the time of purchase. Prices are in U.S. dollars and exclude any taxes we are required to collect, which are added at checkout.
  • Metered features. Certain features consume credits granted by a purchase, and additional credits may be purchased at any time:
  • ATS coverage credits: one credit per check of your resume against one specific live posting.
  • Resume-write credits: one credit per tailored resume for one specific posting. A resume write is bound to that posting. Iterating on the same posting, including asking questions or adjusting an experience, does not consume another credit; starting a resume for a different posting does. A resume write is not a template to be repurposed across postings.
  • Saved-jobs allowance: the number of postings you may save, as a fair-use cap that does not reset on any schedule.
  • Credits have no cash value, are not transferable, are not redeemable for cash, are tied to your account, and do not expire on any periodic or recurring basis. Credits are granted by a purchase, are added to any balance you already hold rather than replacing it, and carry forward while your account remains in good standing.
  • No subscription and no automatic renewal. Meridino is sold as one-time purchases only. There is no subscription, no billing period, and no recurring charge. We will never charge your payment method again unless you choose to make another purchase. The price of any future purchase is the price displayed at checkout at the time you make it.
  • Nothing to cancel. Because nothing recurs, there is nothing to cancel. You may stop using Meridino at any time, and credits you have already purchased stay in your account, subject to Sections 8 and 15.
  • Failed payments. If a charge does not succeed, the purchase does not complete and no credits are granted.
  • Chargebacks. If you dispute a charge with your card issuer rather than contacting us, we may suspend your account while the dispute is open.

8. Refunds

  • The window. You may request a refund of any charge, whether for a package or a credit top-up, within 7 days of that charge, by contacting us at admin@meridino.com.
  • The usage limit. A charge is eligible for a refund only if you have consumed less than 10% of the purchased volume granted by that specific charge. "Purchased volume" means the total number of ATS coverage credits and resume-write credits granted by that charge, whether that charge was for a package or for a credit top-up. A credit is consumed when the corresponding output, an ATS coverage check or a tailored resume, is generated, whether or not you use it. If you have consumed 10% or more of the purchased volume granted by a charge, that charge is not eligible for a refund.
  • Each charge is evaluated on its own. If you buy more than once, every charge has its own 7-day window, measured from that charge's date, and its own 10%-consumed limit, measured against the credits granted by that charge. No purchase affects the refund window or the limit of any other.
  • Saved-jobs allowance is not part of purchased volume for purposes of this section; only ATS coverage credits and resume-write credits count toward the 10% limit.
  • Refunds are returned to the original payment method through Stripe.
  • Where applicable consumer law gives you a longer or non-waivable right of withdrawal or refund, that law controls and nothing here limits it.

9. Promotional codes and discounts

  • Promotional codes, discounts, referral credits, and trial offers are provided at our discretion and on the terms stated with the offer.
  • Promotional codes never stack. A maximum of one promotional code may be applied per purchase, and a code may not be combined with any other code, discount, credit, or offer.
  • Codes have no cash value, are non-transferable, are not redeemable for cash, and may not be resold.
  • Codes are single-use per account unless expressly stated otherwise, apply only to the purchases stated in the offer, and expire on the stated date.
  • We may modify, suspend, void, or revoke a code, and may reverse a discount or reverse the resulting purchase, if we determine it was obtained, distributed, or used in error, in bad faith, in violation of Section 6, or outside the terms of the offer.
  • A discount applies only to a purchase made while the offer is open. Any purchase made after the offer closes is at the then-current standard price.

10. Automated features and their limits

  • Some features are deterministic and rules-based: text extraction, the fit screen, the ATS coverage check, matching, and the anti-fabrication gate. These run on our own code and do not send your content to an AI provider.
  • Some features are AI-assisted: structuring an uploaded resume into your profile, rewriting a bullet for a specific posting, and generating a written resume review. When you use one of these, the relevant portion of your resume or profile content and the relevant posting details are sent to our AI sub-processor, Anthropic PBC, to produce that output. This is described in full in the Privacy Policy and the Data-Usage Policy, and by using these features you consent to that processing.
  • Free and paid access to AI-assisted features. An account that has not purchased credits gets exactly one resume upload, which does invoke AI structuring, and exactly one ATS coverage check, which is deterministic and does not invoke Anthropic or any AI provider. No other AI-assisted feature, including bullet rewriting or a written resume review, and no additional resume upload or ATS check, is available without purchased credits.
  • AI output can be wrong. It may be incomplete, awkward, or unsuitable. Review every generated output before you rely on it or send it to an employer. The anti-fabrication gate constrains what the output may contain; it does not make the output good, correct, or right for you.
  • Job postings can be wrong. Postings in the pool come from employers' own public career-board endpoints and may be inaccurate, out of date, duplicated, mislabeled, or removed by the employer without notice, notwithstanding our re-verification. Verify a posting is legitimate and current before you apply. We are not responsible for the content of a posting, for an employer's conduct, or for any application you submit.

11. Our intellectual property

Meridino, including the software, the scoring engine, the dictionaries and concept maps, the matching logic, the interface, the aggregated postings pool as a compilation, and all associated trademarks, is owned by Feld & Co and its licensors and is protected by intellectual property law. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use Meridino for your own personal job search. No other rights are granted. You may not copy, modify, distribute, sell, lease, or create derivative works from any part of the service.

Your outputs. The resume documents and analyses the service generates for you from Your Content are yours to use for your own job search, without restriction by us.

Feedback. If you send us suggestions or feedback, you grant us an unrestricted, royalty-free right to use it without obligation to you.

12. Third-party services

Meridino depends on third-party services, including our identity provider, hosting, database, payments, and AI providers, each identified in the Privacy Policy. The service also links to employers' career pages and application forms. We do not control third-party services or employer sites, we are not responsible for their content, availability, security, terms, or conduct, and your use of them is governed by their own terms. A link is not an endorsement.

13. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MERIDINO IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WITHOUT LIMITING SECTION 2, WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT SCORES OR MATCHES WILL BE ACCURATE OR USEFUL, THAT POSTINGS WILL BE CURRENT OR GENUINE, OR THAT USE OF THE SERVICE WILL PRODUCE ANY PARTICULAR RESULT.

Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, the exclusions above apply to the fullest extent permitted, and you may have additional rights.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • No indirect damages. NEITHER FELD & CO NOR ITS OFFICERS, MEMBERS, EMPLOYEES, OR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST WAGES, LOST EMPLOYMENT OR BUSINESS OPPORTUNITY, LOST GOODWILL, OR LOST OR CORRUPTED DATA, ARISING OUT OF OR RELATING TO THE SERVICE, WHETHER IN CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  • Cap. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US IN THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD 100).
  • Employment outcomes are expressly excluded. Consistent with Section 2, we have no liability for any hiring decision, rejection, non-response, offer, non-offer, or other employment outcome, or for the conduct or content of any employer, recruiter, job board, or ATS provider.

These limits apply even if a limited remedy fails of its essential purpose, and they allocate risk between us in exchange for the pricing of the service. Some jurisdictions do not allow certain limitations; in those jurisdictions our liability is limited to the greatest extent permitted.

15. Suspension and termination

  • By you. You may stop using Meridino at any time and may request deletion of your account as described in the Privacy Policy.
  • By us. We may suspend or terminate your access, with notice where practicable, for violation of these Terms, non-payment, suspected fraud or abuse, risk to the service or other users, or where required by law. We may terminate for convenience on 30 days' notice, in which case we will refund the purchase price of any credits you have bought and not yet consumed.
  • Effect. On termination, your license to use the service ends. Sections 5 (ownership), 10 (limits), 11 (our IP), 13, 14, 16, 17, and 18 survive.

16. Indemnification

You will indemnify, defend, and hold harmless Feld & Co and its officers, members, and employees from and against any claim, demand, loss, liability, damage, and expense (including reasonable attorneys' fees) arising out of or relating to: (a) Your Content, including any claim that it is inaccurate, misleading, or infringes or misappropriates another person's rights; (b) your use of the service, including any resume or application you submit to an employer; (c) your violation of these Terms or of applicable law; or (d) your violation of the rights of a third party, including any person whose information you enter into your tracker. We will notify you of any such claim and may participate in its defense with counsel of our choosing; you may not settle a claim in a way that imposes an obligation on us without our written consent.

17. Governing law, dispute resolution, and venue

  • Governing law. These Terms and any dispute arising out of or relating to them or to the service are governed by the laws of the State of Texas, excluding its conflict-of-laws rules, and by applicable U.S. federal law.
  • Informal resolution first. Before filing anything, you agree to contact us at admin@meridino.com with a written description of the dispute and to work with us in good faith for 30 days to resolve it. Most problems are resolved this way.
  • Venue. If the dispute is not resolved, you and Feld & Co agree that the state and federal courts located in Travis County, Texas have exclusive jurisdiction and venue, and each of us consents to personal jurisdiction there and waives any objection based on inconvenient forum.
  • Jury trial and class actions. To the extent permitted by law, each party waives any right to a jury trial, and each party may bring claims only in its individual capacity and not as a plaintiff or class member in any class, collective, or representative proceeding.
  • Time limit. Any claim arising out of or relating to these Terms or the service must be brought within one year after it arises, or it is permanently barred, except where a longer period is required by law.
  • Nothing here prevents either party from seeking injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information, or from bringing an individual claim in small-claims court.

18. Changes, notices, and contact

  • Changes to these Terms. We may update these Terms. We will post the updated version with a new effective date and, for material changes, give notice in the product or by email at least 14 days before the change takes effect and may require you to re-accept before continuing to use the service. Continued use after the effective date means you accept the updated Terms. If you do not accept them, stop using Meridino and request deletion of your account.
  • Notices to you may be given in the product or to the email address associated with your account.
  • Notices to us, and all questions, refund requests, and dispute notices, go to admin@meridino.com.

19. General

  • Entire agreement. These Terms, together with the Privacy Policy and the Data-Usage Policy and any purchase terms shown at checkout, are the entire agreement between you and Feld & Co about Meridino and supersede prior discussions.
  • Severability. If any provision is held unenforceable, it is modified to the minimum extent necessary or severed, and the rest remains in force.
  • No waiver. Our failure to enforce a provision is not a waiver of it.
  • Assignment. You may not assign these Terms. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
  • Force majeure. Neither party is liable for a failure to perform caused by events beyond its reasonable control.
  • No third-party beneficiaries. These Terms create no rights in anyone other than you and Feld & Co.
